Please read these Terms and Conditions (“Terms”) carefully before registering for the Healthy Extracts Inc (“Company”) Affiliate Program (“Program”). By registering for and participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, you must not participate in the Program.
- Affiliate Eligibility & Registration
1.1. To participate in the Program, you must be 18 years or older and submit a complete registration form. We reserve the right to approve or reject applications at our discretion.
- Affiliate Obligations
2.1. Affiliates must promote Company products in a lawful, ethical, and professional manner, following all applicable laws and regulations.
2.2. Spam, unsolicited communications, false statements, or unsupported guarantees about Company products are prohibited.
2.3. Affiliates are not permitted to use any terminology in ads or landing pages that are considered non-compliant by the FTC or FDA. Affiliates must be in compliance with all applicable laws, regulations, and guidelines, including without limitation the Federal Trade Commission Act (“FTC Act”),
2.4. . Affiliates must not use terms such as “scam” and “fraud” in their review articles, social media posts or pages about Healthy Extracts Inc. or any of its subsidiaries
2.5 8. Affiliates are not authorized to collect payments or sell any Ikaria Healthy Extracts products from other websites as a “reseller”. Affiliates are not authorized to sell products claiming to be Healthy Extracts, or promoting Healthy Extracts products on retail sites such as eBay, Amazon, or any sites that fall into the category of retail sites.
- Commissions & Payments
3.1. Affiliates receive a commission for each qualified sale via their unique affiliate link, as specified in the Affiliate Dashboard. All Affiliates in order to receive commissions will have to submit a completed and accurate W9.
3.2. Commissions are paid monthly, with a $50 minimum payout threshold. Payments are made via the specified payment method in your Affiliate account.
3.3. Affiliates are responsible for any taxes associated with their commission payments.
- Intellectual Property
4.1. The Company grants a non-exclusive, non-transferable, revocable license to use its trademarks, logos, and promotional materials for promoting Company products within the Program.
4.2. Modification or alteration of Company materials is prohibited without prior written consent.
- Termination
5.1. The Company may terminate your participation in the Program at any time, with or without notice. You may terminate participation by providing written notice to the Company.
5.2. Upon termination, all rights and licenses granted will cease, and outstanding commissions will be forfeited.
- Limitation of Liability & Indemnification
6.1. The Company is not liable for any indirect, incidental, special, consequential, or punitive damages related to the Program or these Terms.
6.2. Affiliates agree to indemnify and defend the Company from any claims, damages, or expenses resulting from their actions or breach of these Terms.
7.Modification
7.1 Healthy Extracts Inc. reserves the right to modify the terms and conditions of the affiliate program at any time, without notice.
- Confidentiality:
8.1 Affiliates are expected to maintain the confidentiality of any proprietary or confidential information provided to them as part of their participation in the affiliate program.
- Disclaimer:
9.1 Healthy Extracts Inc. makes no warranties or representations regarding the affiliate program, including without limitation, the potential for earnings or the reliability of the tracking system.
- Governing Law:
10.1 These terms and conditions shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law.
